Your agreement with Juba
These Terms govern access to and use of Juba's website, company workspace, companion, research, strategy, campaign, publishing, measurement and related services. By creating an account, accepting an order form or using Juba, you agree to these Terms and the Privacy Policy.
If you use Juba for a company or another organization, you confirm that you have authority to accept these Terms for it. “You” then means both you and that organization.
What Juba provides
Juba is a company intelligence and execution system. It can research public information, organize company memory, recommend strategy, generate work, coordinate channel specialists, publish through authorized connections, collect outcomes and help the company learn. Features may change as the product improves.
Accounts and workspaces
You must be at least 18 and able to enter a binding agreement. Provide accurate account information, protect your password and tell us promptly about suspected unauthorized access.
Workspace owners control membership and are responsible for the people they invite. Activity performed through your account or workspace is your responsibility unless it results from Juba's failure to use reasonable security measures.
Your company content
You keep ownership of the information, files, instructions, brand material, conversations and other content you provide to Juba. You give Juba a limited right to host, copy, process, transform and transmit that content only as needed to provide, secure and support the service.
You confirm that you have the rights and lawful basis needed to provide the content and ask Juba to process or publish it. Do not upload highly sensitive information unless it is necessary, lawful and appropriate for the workspace.
Generated work and intellectual property
As between you and Juba, and to the extent permitted by law, you may use the research briefs, strategies, messages, campaign drafts and other outputs generated for your workspace. Juba retains ownership of its software, systems, methods, design, models, prompts and general know-how.
AI output may not be unique. Other users may receive similar ideas or wording. Your rights do not extend to third-party material, public-source content or another person's intellectual property.
AI, research and recommendations
Juba can make mistakes, misunderstand context or rely on sources that later change. Research, estimates, strategies, generated content and companion answers are decision support, not guarantees of accuracy, growth, revenue, legal compliance or business outcomes.
You remain responsible for important business decisions and for reviewing claims before relying on or publishing them. Juba does not provide legal, tax, accounting, investment, medical or other regulated professional advice.
Connections and publishing authority
You may connect accounts you own or are authorized to manage. You authorize Juba to use the permissions granted through each provider to perform the actions you select, including publishing content and retrieving delivery or performance information.
You are responsible for campaign boundaries, audience, claims, budget, timing and legal compliance. Juba will operate only within the product's authorization flow, but you must review account permissions and disconnect access you no longer want. Third-party platforms have their own terms and may change, reject or remove content.
Acceptable use
Do not use Juba to:
- break a law, violate another person's rights or breach a platform's rules;
- publish deceptive, defamatory, infringing, discriminatory or illegal material;
- send spam, impersonate someone, manipulate engagement or conduct unauthorized surveillance;
- upload malware, probe security, evade usage limits or interfere with the service;
- access another workspace or use credentials without permission;
- build or train a competing model from Juba's protected software or system outputs through automated extraction; or
- use Juba for high-impact automated decisions about a person without lawful safeguards and meaningful human review.
Plans, fees and taxes
Some features may be free and others may require a paid plan. Prices, included usage, billing period and cancellation terms shown at purchase or in an order form become part of these Terms. Unless stated otherwise, fees are charged in advance and exclude applicable taxes.
You authorize the payment provider to charge the selected method. If a payment fails or an account exceeds its plan, we may limit paid features after giving reasonable notice. Mandatory refund and cancellation rights under local law still apply.
Confidentiality and security
Each party will use the other party's confidential information only for the relationship and will protect it with reasonable care. Confidential information does not include information that becomes public without breach, was already lawfully known, is received lawfully from another source or is independently developed.
We may disclose confidential information when legally required after giving notice where permitted. Juba's security measures do not replace your responsibility to control workspace membership, connected accounts and the information your team uploads.
Suspension and termination
You may stop using Juba at any time and may request account or workspace deletion by emailing hello@getjuba.com. Disconnect external accounts before leaving if you want their access stopped immediately.
We may suspend or terminate access for a serious or repeated breach, security risk, unlawful use, non-payment or conduct that could harm Juba, another user or a third party. Where practical, we will give notice and an opportunity to fix the issue.
Terms that must logically continue, including ownership, confidentiality, payment obligations, disclaimers and liability limits, survive termination.
Service disclaimers
Juba is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. Nothing in these Terms limits rights that cannot legally be waived.
Limits of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data arising from these Terms.
Juba's total liability for claims arising from the service will not exceed the amount you paid Juba for the service during the 12 months before the event giving rise to the claim. If you used only a free service, the cap is US $100. These limits do not apply where liability cannot legally be limited, including liability for fraud or willful misconduct.
Responsibility for third-party claims
If your content, connected accounts, publishing instructions or unlawful use causes a third-party claim against Juba, you will defend and indemnify Juba against the resulting losses and reasonable costs, to the extent permitted by law. Juba will notify you and allow reasonable control of the defense. This does not require you to cover a claim caused by Juba's own breach or misconduct.
Governing law and disputes
An order form or separate written agreement may identify the governing law and forum. If it does not, the laws and courts of the place where Juba's legal operator is established apply, without regard to conflict-of-law rules. Mandatory consumer protections in your country remain unaffected.
Before starting formal proceedings, contact hello@getjuba.com and allow 30 days for both sides to try to resolve the dispute informally.
General terms and contact
We may update these Terms to reflect product, provider or legal changes. We will post the revised date and provide additional notice for material changes when required. Continued use after the effective date means you accept the revised Terms.
You may not transfer these Terms without our consent, except as part of a permitted business reorganization. Juba may transfer them as part of a merger, financing, acquisition or sale. If one provision is unenforceable, the rest remain in effect. A delay in enforcement is not a waiver. These Terms, the Privacy Policy and any order form are the complete agreement about the service.
